Relaxation in additional fees for Annual Filings till 31st December

Relaxation in Additional Fees for FY 2024-25 Annual Filings till 31st December 2025
Extension of time and waiver of additional fees for filing Financial Statements and Annual Returns under the Companies Act, 2013

The Ministry of Corporate Affairs (MCA) has recently launched the revised versions of e-Forms β€” MGT-7, MGT-7A, AOC-4, AOC-4 CFS, AOC-4 NBFC (Ind AS), AOC-4 CFS NBFC (Ind AS), and AOC-4 XBRL β€” on the MCA-21 Version 3 portal for annual statutory filings.

In light of the recent rollout of these new forms and to facilitate smooth transition for companies adapting to the updated filing process, MCA has decided to allow filing of annual returns and financial statements for the financial year 2024–25 up to 31st December 2025, without payment of additional fees.

It is, however, clarified that this relaxation does not extend or modify the statutory deadlines for holding Annual General Meetings (AGMs) as prescribed under the Companies Act, 2013. Companies failing to conduct their AGMs within the prescribed timelines will remain liable for necessary legal action as per the Act.

Further, any filings made after 31st December 2025 shall be subject to normal and additional fees in accordance with the Companies (Registration Offices and Fees) Rules, 2014, based on the original statutory due dates.
